Terms of Service
Version 1.0 · Effective 14 October 2026
These Terms of Service ("Terms") govern the use of aivisibility (the "Service"), a software-as-a-service product available at aivisibility.niftyminds.cz and operated by HNK CZ s.r.o., Company ID 10719008, with its registered seat at Piletická 486, 503 41 Hradec Králové, Czech Republic ("Provider", "we", "us"). By creating an account or using the Service you ("Customer", "you") agree to these Terms. If you act on behalf of a company, you confirm that you are authorised to bind it.
1. The Service
The Service asks third-party AI assistants (currently ChatGPT by OpenAI, Perplexity, Gemini by Google and Claude by Anthropic; together "Engines") questions ("prompts") that you define, stores their answers and cited sources, and computes statistics about how often and how prominently the brands you track are mentioned. It provides dashboards, reports, exports, rule-based recommendations, optional automatic measurements and optional read-only integrations with Google Search Console and Google Analytics 4.
2. Business use only
The Service is offered exclusively to businesses, organisations and professionals (B2B). Consumer protection rules do not apply. Payments in EUR are available only to customers with a valid EU VAT identification number.
3. Accounts and organisations
- You sign in with a Google account or a one-time e-mail link. You are responsible for keeping access to your e-mail account and devices secure.
- Data, projects and billing belong to an organisation. The person who creates an organisation is its owner. Owners may invite members, assign the owner role to others, manage billing and delete the organisation. Members may create and edit projects and run measurements.
- You are responsible for everyone you invite and for all activity under your organisation.
- You must provide accurate company and billing details and keep them current.
4. Trial
A new organisation receives a free 7-day trial with limited quotas (currently one domain, three prompts, two Engines and 40 credits) without a payment card. When the trial ends, the organisation becomes read-only: you can still see your results but cannot run measurements until you choose a paid plan. Read-only organisations are archived 30 days after the trial ends and permanently deleted 90 days after archiving, unless a plan is purchased in the meantime. We may limit trials to one per company.
5. Plans, quotas and credits
- Paid plans are monthly subscriptions. Each plan includes a number of domains (projects), prompts per domain, Engines, repeats per prompt, team seats, permitted automatic schedules and a monthly number of credits. One credit is one prompt asked to one Engine once. The current plans and quotas are published at aivisibility.niftyminds.cz/pricing and in your Billing screen.
- Credits are reserved when a measurement starts and renew at the start of each billing period. Unused credits do not carry over. Scheduled measurements that do not fit into the remaining credits are skipped and you are notified by e-mail.
- Additional domains may be added to any paid plan for the published monthly fee per domain; each adds one project and a proportional share of credits.
- We may adjust the mix of Engines available in a plan if a third-party provider changes its service or pricing. We will inform you in advance where the change materially reduces what you purchased, and you may cancel in that case without penalty.
6. Fees, payment and invoicing
- Fees are stated per month, exclusive of VAT. Customers with a Czech billing address pay in CZK; all others pay in EUR.
- Payments are processed by Stripe Payments Europe, Ltd. ("Stripe") by payment card and are charged in advance at the start of each billing period. We do not store card details.
- Czech VAT is applied to Czech customers. For customers in other EU member states with a valid VAT ID the reverse-charge mechanism applies; a valid EU VAT ID is required for payment in EUR. Customers outside the EU are invoiced without Czech VAT where the law allows.
- Tax documents (invoices) are issued by HNK CZ s.r.o. after each successful payment and delivered to your billing e-mail address; they are also available for download in the Billing screen.
- If a payment fails, measurements and automatic runs are paused until the payment succeeds. Your data remains accessible. If the payment is not settled within 30 days, the organisation becomes read-only and is handled as described in Section 4.
- We may change prices with at least 30 days' notice by e-mail. New prices apply to new purchases immediately and to existing subscriptions from the first billing period that starts after the notice period.
7. Changing and cancelling a plan
- Upgrades (a higher plan or more domains) take effect immediately. The difference for the remainder of the current billing period is charged pro rata and the new quotas apply at once.
- Downgrades (a lower plan or fewer domains) take effect at the end of the current billing period. Until then the current plan remains in force.
- You may cancel at any time in the Billing screen. The subscription ends at the end of the paid period; fees already paid are not refunded except where the law or Section 5.4 requires otherwise. After the end date the organisation becomes read-only and is handled as described in Section 4.
- You may delete your organisation or account at any time. Deletion is permanent and removes all projects, measurements and connected data within 30 days, subject to records we must retain by law.
8. Acceptable use
You agree not to: (a) use the Service to measure brands or domains without a legitimate business interest, or to harass, defame or infringe the rights of others; (b) resell, redistribute or publicly republish raw Engine answers as a dataset or competing service; (c) use automated means to access the Service other than its documented features; (d) attempt to circumvent quotas, security or payment; (e) use the Service in violation of the terms of the Engine providers or of applicable law. We may suspend accounts that breach this Section (Section 13).
9. Nature of the results
- Engine answers are generated by third parties, are non-deterministic and change over time. The Service records what the Engines answered at the moment of measurement through their programming interfaces; those answers may differ from what the same assistants show in their consumer applications.
- Mentions are detected by matching brand names and the aliases you provide; an answer that refers to a brand without naming it is not counted. Statistics from small samples fluctuate; repeated measurement over time is what the Service is designed for.
- Recommendations are generated by fixed rules from the measured data and are general guidance. They are not marketing, legal, financial or other professional advice, and we do not guarantee any business outcome from following them.
10. Connected Google data
If you connect Google Search Console or Google Analytics 4 to a project, you grant the Service read-only access to the properties you select, using your own Google account. We never write to your Google account. You may revoke access at any time in the project settings or in your Google account security settings. The use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
11. Your data and intellectual property
- You retain all rights to the brands, prompts, settings and connected data you provide ("Customer Data"). You grant us a licence to process Customer Data solely to provide, secure and improve the Service for you.
- Measurement results generated for your organisation (answers, statistics, reports, exports) may be used by you freely for your business, including sharing with your clients or agency.
- The Service, its software, design, methodology and documentation remain the property of the Provider. These Terms do not transfer any intellectual property rights to you.
- We do not use Customer Data or your results to train machine-learning models and do not sell them. We may use aggregated, anonymised statistics that cannot identify you or your brands to improve the Service.
- Personal data is processed as described in our Privacy Policy and, for Customer Data, under the Data Processing Agreement, which forms part of these Terms.
12. Availability and support
We aim to keep the Service available continuously, but it depends on third-party providers (Engines, hosting, payments, e-mail) whose outages, rate limits or changes are outside our control. Planned maintenance is announced in advance where practicable. Support is provided by e-mail at aivisibility@niftyminds.cz on Czech business days; we aim to respond within one business day.
13. Suspension and termination
- We may suspend or restrict the Service immediately where necessary to prevent a breach of Section 8, a security incident, abuse of third-party providers' terms or a legal obligation, and will inform you without undue delay.
- We may terminate these Terms with 30 days' notice to your billing e-mail. In that case we refund prepaid fees for the unused period.
- Either party may terminate for a material breach that is not remedied within 14 days of written notice.
- On termination the organisation becomes read-only and data is deleted as described in Section 4, unless you export it first.
14. Warranties and liability
- The Service is provided "as is". To the extent permitted by law we exclude all implied warranties, in particular as to the accuracy, completeness or fitness for a particular purpose of Engine answers, statistics and recommendations.
- To the extent permitted by law, the Provider's total aggregate liability arising from or in connection with these Terms in any twelve-month period is limited to the fees paid by you for the Service in that period. We are not liable for lost profits, lost revenue, loss of data caused by your own actions, or indirect or consequential damages.
- Nothing in these Terms limits liability for intentional misconduct, gross negligence or where limitation is not permitted by Czech law.
- You will indemnify us against third-party claims arising from your Customer Data or your use of the Service in breach of Section 8.
15. Changes to the Service and these Terms
We continuously develop the Service and may add, change or remove features. We may update these Terms; material changes are announced by e-mail to the organisation owners at least 14 days before they take effect. If you do not agree with a material change, you may cancel before it takes effect and we refund prepaid fees for the unused period. Continued use after the effective date constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the Czech Republic, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The parties will try to resolve any dispute amicably first. Disputes that cannot be resolved amicably are decided by the courts of the Czech Republic having jurisdiction over the Provider's registered seat.
